Terms of Service

1. Acceptance of Terms
These Terms constitute a legally binding agreement between you (individually and as an authorized representative of your law firm, “Customer”) and Legalitize, Inc., a Delaware corporation (“Legalitize,” “we,” or “us”), governing your access to and use of the Legalitize legal practice management platform, including all associated software, AI features, APIs, mobile applications, and documentation (collectively, the “Service”).
By creating an account or using the Service, you represent and warrant that you have the legal authority to enter into these Terms on behalf of your law firm, and that you and your firm will comply with these Terms and all applicable laws, rules, and professional responsibility obligations.
2. Service Description
Legalitize provides an AI-powered legal practice management platform enabling law firms to manage matters, documents, deadlines, billing, compliance, and client communications. The Service includes AI-assisted drafting, legal research, and document analysis features powered by large language models (including Anthropic Claude).
3. Account Registration & Security
You must register for an account to access the Service. You agree to: (a) provide accurate, current, and complete registration information; (b) maintain the security and confidentiality of your account credentials; (c) promptly notify us of any unauthorized access or suspected security breach at security@legalitize.com; and (d) ensure all users added to your firm account have read and will comply with these Terms.
You are responsible for all activity occurring under your account credentials. Legalitize is not liable for losses or damages arising from unauthorized use of your account due to your failure to maintain the security of your credentials, except to the extent caused by Legalitize's own negligence or intentional misconduct.
4. Acceptable Use
You agree to use the Service only for lawful purposes consistent with these Terms. You must not:
- →Use the Service to harass, harm, threaten, or discriminate against any person
- →Upload or transmit malware, viruses, trojans, or any code designed to damage, impair, or gain unauthorized access to systems
- →Attempt to gain unauthorized access to any portion of the Service, its infrastructure, or other customers' data
- →Reverse engineer, decompile, disassemble, or create derivative works of the platform or its AI models
- →Use automated scraping, crawling, or data extraction tools against our AI endpoints or document APIs without written authorization
- →Violate applicable bar rules, rules of professional conduct, or client confidentiality obligations
- →Resell, sublicense, white-label, or otherwise commercially exploit the Service or its API without Legalitize's prior written authorization
- →Use the Service to process data on behalf of third parties as a service bureau without a separate written agreement
Violation of acceptable use policies may result in immediate suspension of your account without prior notice.
5. Intellectual Property
Legalitize IP. The Service, including its software, AI models, training methodologies, design, user interface, branding, and documentation, is owned exclusively by Legalitize, Inc. and protected by copyright, trade secret, and other intellectual property laws. Nothing in these Terms transfers any ownership of Legalitize's intellectual property to you.
Your Content. You retain all ownership rights in documents, matters, client data, and other content you upload or create within the Service (“Customer Content”). You grant Legalitize a limited, non-exclusive, non-transferable license to host, store, process, and display Customer Content solely as necessary to provide the Service to you. We will not access your Customer Content except to provide the Service, respond to support requests, or as required by law.
AI Output. Documents, drafts, and other outputs generated by AI features using your prompts, matter context, and inputs (“AI Output”) are considered Customer Content and belong to you. Legalitize does not assert intellectual property ownership over AI Output specific to your matters. You are solely responsible for reviewing AI Output before use in any legal matter.
Feedback. If you provide suggestions, ideas, or feedback about the Service, you grant Legalitize a royalty-free, worldwide license to use that feedback to improve the Service without any obligation to compensate you.
6. Confidentiality
Each party agrees to protect the other party's non-public confidential information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Legalitize's specific obligations regarding attorney-client privileged materials and personally identifiable information are set forth in our Data Processing Agreement. Neither party will disclose the other's confidential information to third parties except as required by law or to fulfill obligations under these Terms.
7. Subscription & Payment
Access to the Service requires a paid subscription (following any applicable free trial period). Fees are billed in advance on a monthly or annual basis depending on the plan selected. All fees are stated in U.S. dollars. Except as required by applicable consumer protection law, all fees are non-refundable once billed, except in cases of billing error or platform unavailability materially exceeding any applicable SLA.
We reserve the right to modify pricing with at least 30 days' prior written notice. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect. Failure to maintain payment may result in suspension of access to the Service. Accounts suspended for non-payment for more than 60 days may be terminated and Customer Content may be deleted in accordance with our data retention policy.
8. Service Availability & Modifications
We target 99.9% platform uptime and will provide notice of planned maintenance where reasonably practicable. We do not guarantee uninterrupted or error-free operation of the Service. We reserve the right to modify, deprecate, or discontinue features with reasonable advance notice. Material reductions in functionality will be communicated at least 30 days in advance wherever possible.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. LEGALITIZE DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS, THAT AI-GENERATED CONTENT IS ACCURATE, COMPLETE, OR SUITABLE FOR ANY LEGAL PURPOSE, OR THAT THE SERVICE WILL BE FREE OF ERRORS OR INTERRUPTIONS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEGALITIZE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM. IN NO EVENT SHALL LEGALITIZE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF CLIENT RELATIONSHIPS, OR MALPRACTICE LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, Legalitize's liability is limited to the maximum extent permitted by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Legalitize and its officers, directors, employees, agents, and successors from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Service; (b) your violation of these Terms or applicable law; (c) any Customer Content that infringes, misappropriates, or violates any third-party rights; or (d) your breach of any applicable professional responsibility or bar rules.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California without regard to its conflict-of-law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration administered by JAMS in San Francisco, California, under its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted by a single arbitrator with experience in technology and commercial matters. Judgment on the arbitral award may be entered in any court of competent jurisdiction.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction for claims involving intellectual property infringement, unauthorized access to data, or violations of confidentiality obligations. You waive any right to participate in a class action lawsuit or class-wide arbitration.
13. Termination
Either party may terminate these Terms and your access to the Service at any time. You may terminate by canceling your subscription through the platform settings or by contacting support. Legalitize may suspend or terminate your access immediately if you materially breach these Terms, fail to pay applicable fees, engage in activity that threatens the security or integrity of the platform, or violate applicable law.
Upon termination, your right to access the Service ceases immediately. Sections on Intellectual Property, Confidentiality, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law survive termination.
14. Changes to These Terms
We may update these Terms periodically to reflect changes in law, our practices, or our Service. We will notify you of material changes by email and prominent in-app notice at least 30 days before the changes take effect. Continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those changes. If you disagree with any changes, you may terminate your subscription before the new terms take effect.
